As the Manager, Executive Compensation reporting to the Director, Total Rewards you will manage the executive compensation programs globally. You will be responsible for the analysis, recommendation and administration of the long-term incentive program, deferred compensation plan and stock ownership guidelines.  You will provide consultation on executive compensation matters, market pricing and offer recommendations as needed. In addition, you will assist in the preparation of materials for the Remuneration Committee meetings of the Board of Directors and the Remuneration Report included in the 20-F.

 

What You’ll Do: 

 

  • Responsible for the review, recommendation and administration of executive compensation programs including long-term incentive programs, perquisites and deferred compensation plans, peer group and annual benchmark study.
  • Ongoing review, communication and administration of Deferred Compensation plans.
  • Recommend Executive Annual Increases, Base, STI Targets and LTI Targets.
  • Work with Legal to prepare and review award agreements and Deed of Protection (APAC employees) for each grant.
  • Ongoing review, communications and administration of the LTI grant and vesting process; manage third-party administrator (Global Shares).
  • Prepare communication materials and conduct education sessions for participants for all LTI grants and vesting.
  • Partner with Accounting, Tax and Treasury in relation to the LTI vesting process to ensure each finance function receives the data required.
  • Prepare disclosure filings (2A and 3G) for the Australian Stock Exchange (ASX).
  • Create communication packages and meet newly hired executives to review all executive compensation programs.
  • Recommend enhancements and assist in the preparation of the Remuneration Report for inclusion in the 20-F including identifying the five NEOs, all compensation data and plan results.
  • Prepare the LTI section for the Annual Notice of Meeting.
  • Manage due dates and assist with the preparation of the Remuneration Committee meeting materials including partnering with accounting, legal and outside consultants for specific items. Create the project plans.
  • Stay abreast of executive compensation trends in both the U.S. and Australia; understanding the investor groups in Australia and their view of compensation

What You’ll Bring:

 

  • Education equivalent to Bachelor’s Degree in Human Resources or Business, or other related field, or the equivalent in related work experience 
  • Minimum of 5 to 7 years of experience in compensation with at least 3 years in executive compensation
  • Equity administration experience preferred
  • General Business knowledge with an emphasis on finance
  • Knowledge of SEC and Australian Stock Exchange (ASX) Reporting requirements. 
  • Ability to communicate effectively and work cooperatively with management, staff and contractors.
  • Proficiency in Microsoft Word, Excel, Power Point, Outlook, and Global Shares (preferred)
